Welcome to Klipnow – The Digital Museum of Cinema ("Klipnow," "Company," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the Klipnow mobile applications, website, streaming platform, smart television applications (when available), connected devices, digital services, software, features, content, and all related products and services (collectively, the "Platform").

Klipnow is designed to celebrate, preserve, and present cinema through carefully curated programming, live digital cinema events, interactive community experiences, and premium streaming technology.

By downloading, installing, accessing, registering for, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

For purposes of these Terms, the following definitions apply:

• •"Account" means a registered Klipnow user profile used to access the Platform.
• •"App" means any Klipnow mobile application distributed through authorized app stores or downloaded from authorized sources.
• •"Content" means all films, motion pictures, trailers, previews, images, artwork, graphics, text, software, music, audio recordings, subtitles, metadata, descriptions, and other material available through the Platform.
• •"Echo" means Klipnow's synchronized viewing feature that allows multiple users to watch eligible content together while interacting through supported social features.
• •"Live Cinema" means scheduled digital presentations of motion pictures or special programming that begin at designated times.
• •"Platform" includes all Klipnow mobile applications, websites, streaming services, smart television applications, connected television applications, APIs, software, and future digital services.
• •"Subscription" means any paid or promotional membership providing access to designated Platform features.
• •"User," "You," and "Your" refer to any individual or entity accessing or using the Platform.
• •"VOD" (Video On Demand) means eligible motion pictures or programming available for rental or purchase outside scheduled live presentations.

These Terms constitute a legally binding agreement between you and Klipnow, Inc. By using the Platform, you agree that:

• •You have the legal authority to enter into this agreement.
• •You will comply with these Terms and all applicable laws.
• •You will use the Platform only for lawful purposes.
• •You understand that continued use of the Platform constitutes acceptance of any future revisions to these Terms.

You must be at least the age of majority in your jurisdiction, or otherwise have the permission of a parent or legal guardian where permitted by applicable law, to create an account or use the Platform. By using the Platform, you represent and warrant that:

• •The information you provide is truthful and accurate.
• •You are legally permitted to use the Platform.
• •Your use complies with all applicable laws and regulations.
• •You are not prohibited from receiving digital services under applicable trade or export laws.

Certain features of the Platform require registration. When creating an account, you agree to:

• •Provide accurate, current, and complete information.
• •Keep your information updated.
• •Maintain the confidentiality of your password.
• •Immediately notify Klipnow of unauthorized account activity.
• •Accept responsibility for all activity occurring under your account.

You are responsible for maintaining the security of your account credentials. You agree not to:

• •Share your password with unauthorized persons.
• •Allow others to use your account.
• •Attempt to gain unauthorized access to another user's account.
• •Circumvent Platform security measures.

Klipnow makes the Platform available through mobile applications, web browsers, and, where available, smart televisions, streaming devices, tablets, desktop computers, and other supported devices. The availability of specific features may vary depending on your device, operating system, geographic location, or Platform version.

• •You are responsible for maintaining compatible hardware, software, and internet service necessary to access the Platform.
• •Klipnow may discontinue support for older operating systems or devices that no longer meet minimum technical or security requirements.

The Klipnow App may be distributed through third-party application marketplaces, including the Apple App Store, Google Play Store, Microsoft Store, Amazon Appstore, and other authorized distribution platforms. Your download and use of the App are also subject to the applicable terms, policies, and requirements of the marketplace from which the App was obtained. You acknowledge and agree that:

• •Klipnow, and not the applicable app store, is responsible for the operation, maintenance, and support of the Platform.
• •The applicable app store has no obligation to provide maintenance or support services except as required under its own policies.
• •The app store is not responsible for any claims relating to the Platform, including product liability, legal compliance, consumer protection claims, or intellectual property disputes, except where applicable law provides otherwise.
• •Your license to use the App is non-exclusive, non-transferable, revocable, and limited to personal, lawful use.

Klipnow offers subscription-based access to certain features and content. Subscription plans may include, but are not limited to:

• •Standard
• •Premium
• •VIP
• •Promotional Plans
• •Annual Memberships
• •Monthly Memberships
• •Trial Memberships
• •Future subscription offerings introduced by Klipnow

Klipnow may offer free trials or promotional access to eligible users. Unless otherwise stated:

• •Free trials are available only to qualifying users.
• •Eligibility may be determined based on previous subscriptions, account history, promotional offers, or geographic location.
• •Klipnow may modify or discontinue promotional offers at any time.

By purchasing a subscription, rental, or other digital service, you authorize Klipnow or its authorized payment processor to charge the applicable payment method. Payments may be processed through:

• •Apple App Store
• •Google Play
• •Microsoft Store
• •Authorized payment processors
• •Other approved payment providers

Unless otherwise disclosed at the time of purchase, subscriptions automatically renew at the end of each billing period. By purchasing a recurring subscription, you authorize recurring charges until you cancel. You may cancel automatic renewal through:

• •Your Apple App Store account
• •Your Google Play account
• •Your Microsoft Store account
• •Your Klipnow account settings (when applicable)

You may cancel your subscription at any time using the method through which the subscription was purchased. Except where required by applicable law or the policies of the applicable app store:

• •Subscription fees are non-refundable once charged.
• •Partial billing periods are not refunded.
• •Unused viewing time has no cash value.
• •Digital rentals and pay-per-view purchases are generally non-refundable after access has been granted.

Where required by law, applicable taxes, including sales tax, value-added tax (VAT), goods and services tax (GST), or similar governmental charges, may be added to your purchase. Users are responsible for any taxes applicable to their purchases under the laws of their jurisdiction.

Klipnow reserves the right to modify subscription prices, rental prices, event pricing, promotional offers, or other fees. When required by law, users will receive advance notice before price changes take effect. Continued use of a subscription after a price change becomes effective constitutes acceptance of the updated pricing.

From time to time, Klipnow may offer promotional pricing, discounts, coupons, referral programs, loyalty rewards, or limited-time offers. Promotional offers:

• •May have expiration dates.
• •May not be combined unless expressly permitted.
• •Have no cash value.
• •May be modified or withdrawn at any time.
• •May be subject to additional eligibility requirements.

Klipnow is more than a traditional streaming service. The Platform is designed as The Digital Museum of Cinema, providing a curated experience that celebrates the history, artistry, and cultural significance of motion pictures from around the world. The Platform may feature classic films, independent productions, restored motion pictures, documentaries, international cinema, educational content, filmmaker presentations, interviews, behind-the-scenes materials, and other programming selected by Klipnow. Klipnow does not guarantee that any particular title, collection, or feature will remain available for any specific period of time.

Unlike traditional streaming services that provide unlimited access to large libraries, Klipnow may present carefully selected weekly programming. Movies, collections, and special presentations may be released according to a scheduled programming calendar. Release schedules are determined solely by Klipnow and may be changed, postponed, expanded, or canceled without prior notice.

Many films available on the Platform are intentionally presented for limited viewing periods. Unless otherwise announced, selected movies may remain available for approximately 48 to 72 hours, although availability may vary depending on licensing agreements, promotional events, or programming decisions. When a viewing period expires:

• •Access to the title may immediately end.
• •The movie may be removed from the Platform.
• •The title may return at a future date or may never return.

Klipnow may offer scheduled digital cinema presentations ("Live Cinema Events"). These events are intended to recreate the experience of attending a theatrical screening. Depending on the event:

• •Playback may begin only at the scheduled start time.
• •Users joining after the event begins may enter the presentation already in progress.
• •Certain Live Cinema Events may not permit pausing, rewinding, restarting, or replaying during the live presentation.
• •Access may end immediately upon completion of the scheduled event.

Following certain Live Cinema Events or limited-time screenings, Klipnow may make eligible titles available through Video On Demand ("VOD"). VOD availability, pricing, rental periods, and playback rights are determined solely by Klipnow and its licensing partners. Not every title shown during Live Cinema will become available as VOD. Likewise, titles available through VOD may later be removed without notice.

All movies and programming available on Klipnow are offered pursuant to licensing agreements or ownership rights. Accordingly:

• •Titles may become unavailable without notice.
• •Geographic restrictions may apply.
• •Availability may differ by country or region.
• •Playback rights may expire.
• •Certain content may be delayed in specific territories.

Klipnow uses adaptive streaming technology designed to provide the best possible viewing experience based on available bandwidth, network conditions, and device capabilities. Available resolutions may include:

• •Standard Definition (SD)
• •High Definition (HD)
• •Full HD (1080p)
• •Ultra High Definition (4K)
• •8K, where supported

If Klipnow introduces offline viewing in the future, downloaded content will remain subject to these Terms and any applicable licensing restrictions. Offline downloads may:

• •Expire automatically.
• •Require periodic internet verification.
• •Become unavailable if licensing rights expire.
• •Be deleted when a subscription ends.

Klipnow may provide synchronized viewing experiences known as Echo Watch Parties. Echo allows eligible users to enjoy synchronized movie playback while interacting through supported social features. Participation in Echo is subject to the following rules:

• •Users may not publicly broadcast an Echo session.
• •Screen recording is prohibited.
• •Unauthorized commercial use is prohibited.
• •Users remain responsible for their own communications.
• •Echo availability may vary by content, subscription level, or geographic region.

Klipnow may provide users with opportunities to create or participate in film clubs, discussion groups, community events, educational activities, or other interactive experiences. Participation is voluntary. Club organizers and participants are responsible for their own comments and interactions. Klipnow may moderate, suspend, or remove clubs or discussions that violate these Terms.

The Platform may include public or private chat, messaging, comments, reactions, reviews, discussion forums, or other community features. Users agree to communicate respectfully and may not:

• •Harass or threaten others.
• •Post unlawful or defamatory material.
• •Share hateful or discriminatory content.
• •Upload malware or harmful software.
• •Distribute spam or unsolicited advertising.
• •Violate another person's intellectual property or privacy rights.

Users may have the opportunity to submit reviews, ratings, comments, or recommendations regarding available programming. By submitting reviews, you represent that:

• •Your opinions are genuine.
• •Your submission does not violate any law.
• •You own or have permission to submit the content.

Klipnow may offer digital badges, achievements, loyalty points, collectible rewards, or similar promotional programs. Unless expressly stated otherwise:

• •Rewards have no cash value.
• •Rewards are non-transferable.
• •Rewards may expire.
• •Programs may be modified or discontinued at any time.

Klipnow may use viewing history, watchlists, preferences, interactions, and other account information to provide personalized movie recommendations and improve the user experience. Recommendations are generated to enhance content discovery and do not guarantee the availability of any particular title. Users may have options within the Platform to manage certain personalization preferences, where available.

Klipnow is intended to provide a safe, respectful, and enjoyable environment for discovering and experiencing cinema. By using the Platform, you agree to use it only for lawful purposes and in accordance with these Terms. You agree that you will not:

• •Violate any applicable law or regulation.
• •Use the Platform for fraudulent or deceptive purposes.
• •Attempt to gain unauthorized access to the Platform or another user's account.
• •Circumvent, disable, or interfere with any security features.
• •Upload viruses, malware, ransomware, or other harmful code.
• •Use bots, scripts, automated tools, or artificial means to access or interact with the Platform without written authorization.
• •Interfere with the operation, availability, or performance of the Platform.
• •Collect or harvest user information without permission.
• •Engage in any activity that disrupts the experience of other users.

All content available on the Platform, including but not limited to motion pictures, television programming, documentaries, film restorations, artwork, posters, photographs, graphics, logos, software, user interface designs, audio recordings, text, databases, metadata, source code, trademarks, and service marks, is owned by Klipnow, its licensors, content partners, or other rights holders and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to users.

Subject to your compliance with these Terms, Klipnow grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform for your own personal, non-commercial entertainment and educational purposes. Except as expressly permitted by these Terms, you may not:

• •Copy or reproduce Platform content.
• •Modify or create derivative works.
• •Publicly perform or display content.
• •Sell, sublicense, lease, or redistribute content.
• •Remove copyright or trademark notices.
• •Use Platform content for commercial purposes without written authorization.

Protecting filmmakers, studios, distributors, and copyright owners is one of Klipnow's highest priorities. Users may not:

• •Record films using screen recording software.
• •Capture screenshots where prohibited by applicable law or licensing restrictions.
• •Copy, download, extract, or reproduce protected video or audio streams.
• •Upload Klipnow content to third-party websites or services.
• •Share unauthorized copies of films.
• •Distribute passwords or account credentials.
• •Circumvent Digital Rights Management (DRM) or other content protection technologies.

Except as permitted by applicable law, you may not:

• •Reverse engineer the Platform.
• •Decompile software.
• •Disassemble applications.
• •Attempt to discover source code.
• •Probe or test Platform vulnerabilities.
• •Interfere with security systems.
• •Bypass authentication measures.
• •Use automated tools to scrape Platform data.

Where available, users may submit reviews, ratings, comments, discussion posts, community messages, profile information, or other user-generated content. You retain ownership of content you submit. However, by submitting content through the Platform, you grant Klipnow a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, and use that content solely for operating, improving, promoting, and providing the Platform. You represent that:

• •You own or control the rights to the submitted content.
• •Your submission does not violate another person's rights.
• •Your submission complies with these Terms.

Klipnow respects the intellectual property rights of others. If you believe copyrighted material has been made available through the Platform without authorization, you may submit a written copyright notice to Klipnow's designated Copyright Agent. Your notice should include:

• •Identification of the copyrighted work.
• •Identification of the allegedly infringing material.
• •Your contact information.
• •A statement of good-faith belief.
• •A statement made under penalty of perjury that the information is accurate.
• •Your physical or electronic signature.

Your privacy is important to us. Collection, use, storage, disclosure, and protection of personal information are governed by the Klipnow Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that your personal information may be processed in accordance with the Privacy Policy.

The Platform may use cookies, software development kits (SDKs), local storage, analytics technologies, and similar tools to:

• •Improve Platform performance.
• •Measure usage.
• •Detect fraud.
• •Deliver personalized experiences.
• •Support advertising, where applicable.

Depending on your subscription plan, Klipnow may display:

Klipnow may use automated systems and artificial intelligence technologies to:

The Platform may integrate or interact with third-party services, including:

Klipnow implements commercially reasonable administrative, technical, and physical safeguards designed to protect user information. However, no internet-based service or electronic storage system can be guaranteed to be completely secure. Users are responsible for maintaining the security of their own devices, passwords, and network connections. Klipnow encourages users to enable available security features, such as multi-factor authentication if and when offered.

Klipnow reserves the right to suspend, restrict, or terminate your account or access to the Platform at any time if we reasonably believe you have:

• •Violated these Terms or any applicable policy.
• •Engaged in fraudulent, unlawful, or abusive conduct.
• •Infringed the intellectual property rights of others.
• •Attempted to compromise the security or integrity of the Platform.
• •Shared your account in violation of your subscription plan.

• •Used the Platform in a manner that may harm Klipnow, its users, or its content partners.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KLIPNOW DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLIPNOW, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, CONTENT PARTNERS, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

• •CONSEQUENTIAL DAMAGES
• •SPECIAL DAMAGES
• •EXEMPLARY DAMAGES
• •PUNITIVE DAMAGES

You agree to defend, indemnify, and hold harmless Klipnow, Inc., its affiliates, officers, directors, employees, licensors, contractors, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• •Your use of the Platform.
• •Your violation of these Terms.
• •Your violation of applicable law.
• •Your infringement of any intellectual property or other rights of another person.
• •Any content you submit through the Platform.

Klipnow shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to:

• •Natural disasters.
• •Fire.
• •Flood.
• •Earthquake.
• •Pandemic.
• •Labor disputes.
• •Government actions.
• •Internet outages.
• •Power failures.
• •Cyberattacks.
• •Acts of war.
• •Terrorism.
• •Failures of telecommunications providers or cloud service providers.

You agree to comply with all applicable export control, trade, and sanctions laws. You may not use the Platform if prohibited by applicable law or if you are located in, or acting on behalf of, a country, organization, or individual subject to applicable legal restrictions.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Nothing in these Terms limits any mandatory consumer protection rights available to you under applicable law.

Before filing a legal claim, you agree to first contact Klipnow and make a good-faith effort to resolve the dispute informally. If a dispute cannot be resolved informally, it may be resolved through binding arbitration or another dispute resolution process to the extent permitted by applicable law and any mandatory consumer rights. Nothing in this section prevents either party from seeking temporary injunctive relief to protect intellectual property or confidential information where permitted by law.

Klipnow continually develops and improves its services. Accordingly, we may:

• •Modify functionality.
• •Introduce new subscription plans.
• •Change pricing.
• •Expand to additional devices.
• •Retire legacy functionality.

Klipnow may revise these Terms from time to time. When material changes are made, we may notify users through:

• •Our website.
• •Other reasonable methods.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be interpreted as closely as possible to reflect its original intent while remaining enforceable under applicable law.

A failure by Klipnow to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights. Any waiver must be in writing and signed by an authorized representative of Klipnow.

You may not assign or transfer your rights or obligations under these Terms without Klipnow's prior written consent. Klipnow may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, financing, or sale of assets.

These Terms, together with the Klipnow Privacy Policy and any additional policies or guidelines expressly incorporated by reference, constitute the entire agreement between you and Klipnow regarding your use of the Platform. They supersede all prior or contemporaneous understandings, communications, and agreements relating to the Platform.

Klipnow is committed to creating a respectful community centered on the appreciation of cinema. Users may not:

• •Harass or intimidate others.
• •Post hateful or discriminatory content.
• •Share illegal material.
• •Promote violence or criminal activity.
• •Upload spam or malicious software.
• •Misrepresent their identity.
• •Interfere with the enjoyment of other users.

Where offered, filmmakers, distributors, studios, or authorized representatives submitting content to Klipnow represent and warrant that:

• •They own or control the necessary distribution rights.
• •Submitted materials do not infringe third-party rights.
• •All information provided is accurate.
• •They have authority to enter into licensing discussions.

If you download the Klipnow App through an authorized app marketplace:

• •Your use of the App is also subject to the applicable marketplace's terms and policies.
• •Purchases made through that marketplace are processed by the marketplace or its designated payment provider.
• •Requests regarding billing, subscriptions, or refunds may need to be submitted through the applicable marketplace, depending on where the purchase was made.
• •Nothing in these Terms limits any rights you may have under applicable consumer protection laws or the policies of the marketplace from which you obtained the App.
